1. Acceptance of Terms

By accessing and using the website and services of ParityMZPA B.V. ("ParityMZPA", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ParityMZPA. If you do not agree to these Terms, you must not use our website or services. Your continued use of our services constitutes your ongoing acceptance of these Terms and any modifications we may make.

2. Description of Services

ParityMZPA provides business strategy consulting services including but not limited to strategic planning, growth strategy development, organisational development, performance optimisation, market analysis, and innovation strategy. Our services are delivered through various channels including in-person consultations, digital communications, workshops, and written reports. The specific scope, deliverables, and terms of each consulting engagement will be detailed in separate service agreements or statements of work.

3. User Obligations

When using our services and website, you agree to:

• Respect the confidentiality of any proprietary information shared during consultations

4. Intellectual Property

Any custom strategies, recommendations, or deliverables created specifically for your organisation during our consulting engagement will be owned by you, subject to ParityMZPA's retention of underlying methodologies and general knowledge.

5. Payment Terms

Payment terms for consulting services will be specified in individual service agreements. Unless otherwise agreed, payment is due within 30 days of invoice date. All fees are quoted in Euros and are exclusive of applicable taxes. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. ParityMZPA reserves the right to suspend services for overdue accounts and to engage collection agencies or legal counsel for unpaid invoices, with associated costs borne by the client.

6. Confidentiality

ParityMZPA acknowledges that during the course of providing services, we may have access to confidential and proprietary information about your business. We commit to maintaining strict confidentiality of all client information and will not disclose such information to third parties without your written consent, except as required by law. This confidentiality obligation survives the termination of our service relationship. Similarly, any proprietary methodologies, frameworks, or confidential information of ParityMZPA shared during our engagement must be kept confidential by you.

7. Limitation of Liability

To the maximum extent permitted by law, ParityMZPA's total liability for any claims arising from or related to our services or these Terms shall not exceed the total amount paid by you for services during the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. Our recommendations and advice are based on information provided by you and market conditions at the time of service delivery. Business strategy involves inherent risks, and we cannot guarantee specific outcomes or results.

8. Disclaimer

Our services and website are provided "as is" and "as available" without warranties of any kind, either express or implied. ParityMZPA disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements. Any advice or recommendations provided are based on our professional judgment and available information, but business outcomes depend on numerous factors beyond our control.

9. Indemnification

You agree to indemnify, defend, and hold harmless ParityMZPA, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of our services, violation of these Terms, or infringement of any third-party rights. This indemnification obligation survives the termination of these Terms and any service agreements.

10. Termination

Either party may terminate a consulting engagement or service agreement with written notice as specified in the individual agreement. ParityMZPA reserves the right to terminate access to our website or services immediately if you violate these Terms. Upon termination, you must cease all use of our services and return or destroy any confidential information of ParityMZPA. Provisions relating to payment obligations, confidentiality, intellectual property, limitation of liability, and governing law shall survive termination.

11. Governing Law

These Terms and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any legal proceedings shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Modifications to Terms

ParityMZPA reserves the right to modify these Terms at any time by posting updated terms on our website. We will notify users of material changes via email or prominent website notice. Your continued use of our services after such modifications constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically to stay informed of any changes.

13. Force Majeure

ParityMZPA shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures. In such events, we will make reasonable efforts to resume normal service delivery as soon as possible.

14. Entire Agreement

These Terms, together with any individual service agreements and our Privacy Policy, constitute the entire agreement between you and ParityMZPA regarding the use of our services and supersede all prior or contemporaneous communications and proposals. No modification of these Terms shall be effective unless in writing and signed by authorised representatives of both parties.
